Payment Terms: Payment terms will be specified in the individual contract. Clients agree to make payments as outlined and on time. Late payments may result in service suspension or additional fees
Taxes: Clients are responsible for all taxes applicable to the services rendered unless explicitly stated otherwise in the agreement.
5. Project Timelines
SoftIQo strives to deliver projects on time and within the agreed schedule. However, delays may occur due to unforeseen circumstances, including client-side delays in providing necessary feedback or approvals. Any timeline extensions will be communicated promptly
6. Intellectual Property
Ownership: Any software, designs, code, or other intellectual property developed by SoftIQo during the project remain the property of SoftIQo until full payment is received. Upon receipt of payment, ownership of the deliverables is transferred to the client as outlined in the specific project agreement.
Licensing: SoftIQo may use pre-existing code or third-party libraries within projects, and any licensing requirements for such materials will be communicated to the client in advance.
7. Confidentiality
Both SoftIQo and the client agree to maintain confidentiality regarding all proprietary or sensitive information exchanged during the course of the project. This includes business information, technical details, and trade secrets.
8. Warranties and Disclaimers
No Warranty: SoftIQo provides its services “as is” and does not warrant that the services will be error-free or uninterrupted. We do not guarantee specific outcomes or business results.
Third-Party Services: SoftIQo may integrate third-party software or services into client projects. We are not responsible for the performance, accuracy, or reliability of third-party tools and platforms.
Client Responsibility: It is the client’s responsibility to test, verify, and ensure that all deliverables meet the agreed-upon specifications.
9. Limitations of Liability
SoftIQo shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the use of our services, including but not limited to, loss of profits, data loss, or business interruption. Our total liability for any claim related to our services shall not exceed the amount paid by the client for the specific service giving rise to the claim.
10. Termination
Client-Initiated Termination: Clients may terminate their service agreement by providing written notice to SoftIQo. Any unpaid fees for work completed up to the date of termination will remain payable.
SoftIQo-Initiated Termination: SoftIQo reserves the right to terminate services in cases of non-payment, breach of contract, or misuse of the services. Any remaining fees for services rendered will be due upon termination.
Effect of Termination: Upon termination, SoftIQo will cease all work on the client’s project, and any deliverables will be provided as per the contract terms, up to the date of termination.
11. Force Majeure
SoftIQo is not liable for any failure to perform its obligations under these Terms due to unforeseen circumstances or events beyond its reasonable control, including but not limited to, natural disasters, acts of government, labour disputes, and technical failures.
12. Governing Law
These Terms of Service are governed by and construed in accordance with the laws of Tamil Nadu, India. Any legal proceedings arising out of or related to these Terms shall be resolved in the courts of Tamil Nadu, India.
13. Changes to the Terms
SoftIQo reserves the right to update or modify these Terms at any time. We will notify you of any significant changes by posting the revised Terms on our website. Continued use of our services after such changes constitutes acceptance of the updated Terms.
